Non-Reliance Disclaimer

1 Purpose

This document sets out the basis on which information, research, and Asset Intelligence Packets (AIPs) are provided by Woodyer Capital Ltd (“the Company”, “we”, “us”) to any recipient, including prospective and existing clients (“you”, “the recipient”).

It applies to every piece of written or verbal output the Company provides, including AIPs, market commentary, emails, calls, and any other communication relating to a property opportunity.

2 No Advice

The Company does not provide investment advice, financial advice, legal advice, tax advice, valuation advice, or lending advice of any kind. Any information provided is for general informational and research purposes only.

Nothing the Company provides should be treated as a substitute for advice from a qualified solicitor, accountant, tax adviser, RICS valuer, lender, or other relevant professional.

3 No Recommendation

Nothing provided by the Company constitutes a recommendation, inducement, or invitation to buy, sell, let, lease, or otherwise engage in any investment, transaction, or property interest, whether in the United Kingdom or any other jurisdiction.

Where an AIP or other output expresses an analytical view, range, or position, that view is intelligence to support the recipient’s own decision-making process. It is not, and must not be treated as, an instruction or recommendation to act.

4 Independent Assessment

Recipients must conduct their own independent due diligence and rely on their own judgment and professional advisers before making any decision relating to a property opportunity, transaction, or investment.

This includes, without limitation, independent verification of price, title, planning status, lease terms, condition, environmental matters, and financing terms.

5 No Reliance

Information is provided strictly on a non-reliance basis. The Company accepts no responsibility, and assumes no duty of care, for any reliance placed on such information by the recipient or any third party.

Where evidence behind a figure or claim is graded (for example, within an AIP’s evidence confidence system), a lower grade indicates greater uncertainty and a correspondingly greater need for independent verification before any reliance.

6 No Liability

The Company shall not be liable for any direct, indirect, or consequential loss, including loss of profit or opportunity, arising from the use of, or reliance on, any information provided, except to the extent such liability cannot be excluded under English law.

Where a separate Engagement Letter has been signed with a client, the liability terms set out in that Engagement Letter shall apply in addition to, and where there is any conflict shall take precedence over, this disclaimer for that client relationship.

7 Third Parties

This disclaimer applies equally to any third party who comes into possession of Company output, whether directly or indirectly, and whether or not they are the intended recipient. No such third party may rely on the information without the Company’s prior written consent.

8 Acceptance

By receiving, reading, or using information from the Company, the recipient acknowledges and agrees to the terms of this disclaimer.

9 Governing Law

This disclaimer is governed by the laws of England and Wales.
